Fast Track Procurement (FTP)


The Ministry of Commerce and Industries has decided to delegate the definition of the reformed structure and process for privatizing the petroleum enterprise to an advisory company well versed in privatization and petroleum enterprises through a competitive bidding process. The MoCI intends to invite Expression of Interest (EoI) from companies for this purpose as defined below.

The goal of this FTP project is only to prepare a plan and process for privatizing this enterprise. It does not include the privatization itself. The selected company will have the following responsibilities that are to be listed in the Request for Quotation (RFQ):

(a) Detailed due diligence and review of operational, accounting, financial, legal, environmental, contractual, regulatory, labor, and other institutional aspects of the current petroleum enterprise.

(b) Determination of the feasibility of different transaction structures (public/private partnership, private sector, or other plan and recommendation of the transaction structure for private sector participation.

(c) Explanation of the value of the enterprise and its commercial activities.
(d) Development of appropriate legal and contractual agreements.
(e) Preparation of bidding documents, post-bid evaluation mechanism, and conclusion of divestiture.

(f) Definition of detailed Terms of Reference (ToR) which include the details of the assets of the Petroleum Enterprise to be sold and how the new enterprise should be organized, with or without its provincial agencies.

(g) Recommendation of a solution for placement of enterprise personnel, at present 1500 people.

The MoCI expects transparency and accountability in the selection process. The terms and conditions for participation in this RFQ must include the following:
1. High quality services to ensure the successful conclusion of the eventual divestiture.
2. Working experience in this activity
3. Accountability for due diligence in preparation of the recommendations.
4. Intention of encouraging the development and use of Afghan consultants and domestic capacity building, e.g., studies and deliberations should be done by
experts in Afghanistan. 
 
5.  CVs of experts attached to the proposal.
6.  The documents and reports must be prepared in English and Persian.
7.  Dead line for EoI : April 30, 2008
